Policy for
Transactions Between iLLusive
Design & Clients
TOS Agreement Policy: as of/in
effect by: Oct. 2007
Introduction
For purchases/transactions made between iLLusive Design
Incorporated
("Business") and any second or
third party client ("Client")
for services rendered.
This Terms of service agreement
("TOS") is considered to be a
binding contractual agreement
between Business and Client.
This agreement pertains to
any purchases and/or
transactions made, directly
involving Business.
Purchases
Any total purchase price
exceeding the amount of $500
may be paid in one of two
payment options by Client.
Payment option one ("Option1"):
Client pays in two installments;
50% (of the total purchase
price) down payment, and a
second installment of 50% upon
project demo completion
(viewable/operational version of
the website).
Payment option two
("Option2"): Client pays
Business in three installments;
34% (of the total purchase
price) down payment, 33% during
the production phase and upon
visual representation completion
(mid-way through development
phase), and finally a
33% installment nearing project
completion as outlined in the
purchase invoice. Business makes all
decisions pertaining to which
payment method will be
applicable in all cases.
If project quote and total
purchase price is under the
amount of $500 then it is
entirely at the discretion of Business as
to whether or not Client pays in
one installment: 100% upfront.
Refunds may only be issued
pending project incompletion. Refunds are not
mandatory; all decisions
pertaining to refund of payment are
made by Business internally.
Otherwise Business will comply
with proceedings of moderation
and arbitration with the Better
Business Bureau ("BBB").
Business is a registered member
of the BBB.
All payments must be made by
Client based on the available
options provided in purchase
invoices.
Payment methods may and/or will
include: Paypal (electronic
funds transfer), Money Order
("MO"), or Certified Check. Should any
other payment method be proposed
by Client it must undergo review
by Business before acceptance.
Business will only accept
currency in USD and CAD; USD is
to be accepted from Client's
residing in the United States of
America.
Canadian residents/client’s are subject to
be charged all applicable
service GST tax (5%) of the
sub-total purchase price.
Copyright and General
Protection of Property
Business owns the rights and
the intellectual property rights
to all in which it creates. Ergo Business has full
rights to place any chosen
Copyright, trademark, logo or
slogan ("CTLS") in viewable or
non-viewable areas of any
design. Client has ownership of
any purchased design and will retain the right
to modify purchased design in
ways they choose while
maintaining mandatory CTLS's.
Design Production and Hours
of Operation
Business offers no guarantee
in timeframe for completion of
any project. Business must
supply an ETA (estimated time of
arrival) which is to be as
accurate as possible based
on the pre-assumed time
requirement to develop
any project as described in
project invoices.
Business'
hours/hours of operation are
Monday to Friday 10am - 5pm EST.
Any overtime working (during
non-business hours) is not
mandatory and will remain
optional and based on the decision of
Business.
Project Completion
After completion of any
custom project Client will
receive only the
design files required to operate
Client's website. No source or
saved files will be provided by
Business unless prior discussion
with Business management and
payment for said files is
issued. Files
issued upon project completion may include,
but not be limited to .jpg,
.bmp, .swf, .gif, .html, .php, .cgi.
Business reserves the right to
terminate any project at any
time and issue a refund for the
total amount received to date
less the value of the developed
project material to date.
Technical Support and General
Customer Service
Business does not offer 24/7
tech and customer support. Support is between
normal business hours (see
section: "Design Production and
Hours of Operation"). One can

Business does not offer support
via the iLLusive Design website
for Client on behalf of
iLLusive
Hosting Solutions. Please visit

Clause/Agreement
By entering into any transaction
with Business, Client agrees to
and understands the TOS policy.
Inability to comply with TOS may
result in legal actions or
mandatory arbitration. Any
transaction between Business and
Client shall be governed by the
laws of Canada and the province
of Ontario. Legal disputes shall
be addressed in an Ontario,
Canada court of justice. This TOS
is in effect as of Oct,
2007.
